The firm is seeking a Senior Corporate Paralegal to provide advanced legal support on corporate governance and complex transactional matters for both private and public company clients. Working with minimal supervision, this role assists attorneys with entity formation, maintenance, and dissolution, prepares organizational documents, coordinates transaction closings, drafts legal opinions, prepares and files corporate and securities documents, conducts due diligence reviews, organizes corporate records, maintains capitalization tables and stock records, prepares stock certificates, researches Blue Sky compliance issues, and assists with required filings. The Senior Corporate Paralegal will also mentor and train junior paralegals and case assistants while supporting a variety of corporate transactions, including private equity, capital markets, and M&A matters.

Candidates should have a bachelor’s degree and 5+ years of transactional paralegal experience, preferably in private equity, capital markets, and mergers & acquisitions. Prior law firm experience is preferred, along with strong organizational, communication, and multitasking skills, exceptional attention to detail, and the ability to manage confidential information. Advanced Microsoft Office skills, particularly Excel, are required, while experience with Carta, Shareworks, or similar equity management platforms is a plus.

Salary: $45.00–$65.00 per hour ($93,600–$135,200 annually), depending on experience and qualifications. The firm also offers a competitive benefits package.
