Fund Formation Senior Paralegal

A leading law firm is seeking a Fund Formation Senior Paralegal to support fund formation attorneys and senior paralegals with a range of administrative and substantive duties.

The role covers all facets of emerging company and venture fund work, including preparing and maintaining organizational documents, partnership and LLC agreements, side letters, transfer agreements, and amendments. The Paralegal will conduct investor suitability due diligence, research federal and state securities regulations relevant to fund formations, prepare and file required notices, and support due diligence review and the preparation of opinions. The role also includes handling SEC compliance reporting for venture fund clients regarding their public company stock portfolios, along with standard timekeeping and administrative responsibilities.

Candidates should have a bachelor’s degree and a minimum of 5 years of paralegal experience, preferably in fund formation, along with the ability to work overtime and meet a minimum annual billable hour requirement. A paralegal certificate is preferred. Strong organizational, communication, and proofreading skills are essential, along with the ability to manage multiple supervisors and shifting assignments in a fast-paced environment.

The hourly pay range is $55.00–$85.00 ($114,400–$176,800 annually).
