Fund Formation Senior Paralegal
The firm is seeking a Fund Formation Senior Paralegal to provide advanced paralegal support for attorneys handling venture fund and emerging company matters. Responsibilities include preparing and maintaining organizational documents, drafting partnership and limited liability company agreements, preparing side letters, transfer and admission agreements, amendments, and other fund formation documents. The role also involves conducting investor suitability due diligence, researching federal and state securities regulations, preparing and filing required regulatory notices, assisting with legal opinions and due diligence reviews, managing SEC compliance reporting for venture fund clients with public company stock portfolios, and supporting additional administrative and billable work as needed.
Candidates should have a bachelors degree and at least 5 years of paralegal experience, preferably in fund formation. A paralegal certificate is preferred. The ideal candidate will have strong organizational, proofreading, and communication skills, the ability to manage multiple priorities in a fast-paced environment, work independently and collaboratively, meet deadlines, and maintain professionalism when working with attorneys and clients. Proficiency with Microsoft Office, iManage, and other legal applications is required, along with the ability to bill 1,600 hours annually and work overtime as needed.
Salary: $55.00$85.00 per hour ($114,400$176,800 annually). The firm also offers a competitive benefits package.
