Transactional Paralegal

Our client is seeking a Transactional Paralegal to support attorneys within the Corporate/Securities and Real Estate/Finance practice groups. This role is responsible for assisting with a wide range of transactional matters, including entity formation and maintenance, corporate governance, due diligence, financing transactions, and closing coordination.

Key responsibilities include preparing, revising, and filing legal documents, corporate records, amendments, annual reports, UCC filings, and related forms. The Paralegal will conduct UCC and due diligence research, analyze findings, prepare and manage closing checklists, coordinate transaction documents, review due diligence materials, obtain corporate certificates and records, and assist with entity formations, dissolutions, and ongoing compliance requirements. Additional duties include drafting form corporate documents, preparing transaction exhibits, identifying discrepancies, and working directly with attorneys and clients throughout the transaction lifecycle.

Qualified candidates will possess a Bachelor’s degree or an Associate’s/Bachelor’s degree in Paralegal Studies, along with prior transactional paralegal experience. Strong knowledge of legal principles and transactional practices is required, as is proficiency with Microsoft Office Suite and Adobe Acrobat. The ideal candidate will demonstrate exceptional organizational, communication, problem-solving, and time-management skills, the ability to manage multiple deadlines in a fast-paced environment, a commitment to client service, and the discretion necessary to handle confidential information.
